1. Acceptance of Terms

By accessing or using Sendio's services — including our API, dashboard, documentation, and any related services (collectively, the "Service") — you agree to be bound by these Terms of Service ("Terms").

If you use the Service on behalf of an organization, you accept these Terms on behalf of that organization and warrant that you have the authority to do so. In such cases, "you" and "your" refer to the organization.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Sendio is a Unified Communication Platform structured into two modules under one brand: Messaging Module and Social Module. The Messaging Module lets developers and businesses send, receive and manage messages across multiple channels (WhatsApp Cloud API, Telegram, Discord live today; Instagram Direct Messages and Facebook Messenger in Phase B / Q3 2026 — pending Meta App Review). The Social Module adds social publishing (Instagram Publishing, Facebook Pages, TikTok in Phase B-C; LinkedIn in Phase F) and lead capture (Facebook Lead Ads, TikTok Lead Gen Custom API; LinkedIn Lead Gen Forms in Phase F).

The Service includes: access to the Sendio REST API (api.sendio.dev), an administration dashboard (app.sendio.dev), real-time webhook delivery for message, post and lead events, and technical documentation with code examples in multiple programming languages.

Sendio acts as an intermediary between your application and channel providers. We do not own or operate the underlying messaging/social networks (WhatsApp, Telegram, Meta Platforms, TikTok, LinkedIn, etc.). Availability of individual channels and modules is subject to each provider's terms and conditions and to the progress of the public phased roadmap (Phase A-F).

3. Account Registration

To use the Service, you must create an account by providing a valid email address. We verify your identity through a one-time password (OTP) sent to your email — we do not use passwords.

Upon registration, you create a workspace that acts as an isolated environment for your channels, API keys, webhooks, and logs. Depending on your plan, you may create multiple workspaces and invite team members with different roles.

You are responsible for: maintaining the security of your API keys and not sharing them publicly, all activity that occurs under your account and workspaces, ensuring your use of the Service complies with applicable laws, and notifying us immediately if you suspect unauthorized access to your account.

We reserve the right to suspend or cancel accounts that violate these Terms or exhibit patterns of abuse.

4. Plans and Billing

Sendio is billed per module. You may subscribe to the Messaging Module, the Social Module, or both. Each module has its own tier and its own quota — volumes do not mix across modules.

Messaging Module (1:1 message send and receive):

Free: 500 messages/month, 2 channels, 1 workspace. No cost. • Developer ($19/mo): 5,000 messages/month, 3 channels, 1 workspace. • Starter ($79/mo): 30,000 messages/month, 10 channels, 3 workspaces. • Professional ($229/mo): 150,000 messages/month, 25 channels, 10 workspaces. • Scale ($699/mo): 750,000 messages/month, 75 channels, 50 workspaces.

Social Module (social publishing + lead capture):

Social Free: 200 posts/month, 3 social channels. No cost. • Social Starter ($29/mo): 2,000 posts/month, 10 social channels. • Social Pro ($99/mo): 15,000 posts/month, 25 social channels. • Social Scale ($299/mo): 75,000 posts/month.

Bundles (Messaging + Social on a single invoice, discounted vs. buying each tier separately): Bundle Starter ($89/mo — 18% off): Messaging Starter + Social Starter. • Bundle Pro ($279/mo — 15% off): Messaging Professional + Social Pro. • Bundle Scale: Messaging Scale + Social Scale (price set at checkout).

Overage: If you exceed the volume included in your plan, you will continue operating without interruption. Messaging overage is billed at $0.0010 to $0.0030 per additional message depending on your tier. Social overage is billed per additional post: Social Starter $0.02, Social Pro $0.012, Social Scale $0.008. You may set a hard cap in the dashboard to prevent overage charges on either module.

Billing: Paid plans are billed monthly or annually (with a 20% discount). Payments are processed through Stripe (USD) and Mercado Pago (ARS). Charges are non-refundable except as required by applicable law.

We reserve the right to modify pricing with 30 days' advance notice via email. Price changes do not affect the current billing period.

5. Acceptable Use

You agree to use the Service responsibly and lawfully. The following are prohibited:

Spam and unsolicited messages: Sending unsolicited bulk messages, marketing without prior recipient consent, or any communication that violates applicable anti-spam laws (CAN-SPAM, GDPR, etc.).

Illegal content: Using the Service to transmit content that is illegal, defamatory, threatening, harassing, obscene, or that infringes third-party intellectual property rights.

Technical abuse: Attempting to circumvent rate limits, reverse-engineering the API, exploiting vulnerabilities, generating artificial traffic, or interfering with Sendio's infrastructure.

Impersonation: Impersonating another person or organization, or sending deceptive messages about your identity or the nature of your communications.

Unauthorized resale: Reselling access to the Sendio API without prior written authorization.

Violations of this acceptable use policy may result in immediate service suspension, account termination, and/or legal action.

6. API Usage

API keys: API access requires a valid key prefixed with sk_live_ (production) or sk_test_ (sandbox). Keys must be transmitted exclusively via the Authorization: Bearer header over HTTPS. Never include API keys in URLs, public logs, or code repositories.

Rate limits: Each plan has per-second request limits: Free (10 req/s), Developer (60 req/s), Starter (300 req/s), Professional (1,200 req/s), Scale (5,000 req/s). Rate limits are communicated via standard X-RateLimit-Limit, X-RateLimit-Remaining, and X-RateLimit-Reset headers on every response.

Idempotency: All send operations (POST /api/v1/messages/send/*) support idempotency keys via the Idempotency-Key header. We strongly recommend using idempotency keys on all critical operations to ensure safe retries without message duplication. The deduplication window is 24 hours.

Versioning: The API uses URL versioning (/v1/). When a new version is released, the previous version will be supported for at least 12 months. We will provide ample notice of deprecations.

Webhooks: Delivery events are sent to your configured webhook URLs. Each webhook includes an HMAC-SHA256 signature in the X-Sendio-Signature header that you should verify to ensure authenticity.

7. Intellectual Property

Sendio's property: The Sendio brand, logo, API, documentation, and all software and content created by Sendio are the exclusive property of Sendio. These Terms do not grant you any intellectual property rights in the Service beyond a limited, revocable license to use the Service in accordance with these Terms.

Your content: You retain all rights to the content you transmit through the Service. Sendio does not claim ownership of your messages, data, or configurations. You grant us a limited license to process your content solely for the purpose of providing the Service.

Feedback: If you provide suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use that feedback to improve the Service.

8. Data Processing

When you process personal data of third parties through Sendio (for example, phone numbers or user identifiers of your customers), you act as the Data Controller and Sendio acts as the Data Processor under GDPR terminology.

Sendio offers a Data Processing Agreement (DPA) that meets GDPR requirements. The DPA is available for signing in the dashboard for all paid plans. For the Free plan, the DPA may be requested via email.

As Data Controller, you are responsible for: obtaining necessary consent from your end users for the processing of their data, complying with all applicable data protection laws, informing your users about how their data is processed, and responding to data rights requests from your users.

Sendio processes personal data solely according to your instructions and for the purposes described in our Privacy Policy and the applicable DPA.

9. Service Level

Sendio commits to the following uptime targets by plan:

Free: Best effort (no guaranteed SLA) • Developer: 99% • Starter: 99.5% • Professional: 99.9% • Scale: 99.95%

Uptime is calculated monthly, excluding scheduled maintenance windows (notified at least 48 hours in advance) and force majeure circumstances.

In case of SLA breach, customers on Professional and Scale plans are eligible for service credits on the following scale: below 99.9% — 10% of monthly charge, below 99.0% — 25% of monthly charge, below 95.0% — 50% of monthly charge.

Credits must be requested within 30 days of the month in which the outage occurred. Credits are applied to the next billing cycle and are not transferable or redeemable for cash.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SENDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, RESULTING FROM THE USE OR INABILITY TO USE THE SERVICE.

Sendio's total liability under these Terms shall not exceed the total amount paid by you to Sendio during the 12 months preceding the event giving rise to the claim, or $100 USD, whichever is greater.

These limitations apply regardless of the legal theory under which the claim is brought (contract, tort, negligence, strict liability, etc.) and even if Sendio has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. Termination

Termination by you: You may cancel your account at any time from the dashboard or by contacting support. Upon cancellation: your subscription remains active until the end of the current billing period, you retain read-only access to your data for 30 days after cancellation, and after 30 days all your data (workspaces, logs, configurations) is permanently deleted.

Termination by Sendio: We reserve the right to suspend or terminate your access to the Service immediately and without prior notice if: you violate these Terms or the acceptable use policy, your use of the Service poses a security risk to other users, you fail to pay outstanding charges after 15 days past the due date, or we are required to do so by law.

Effects of termination: Upon termination, your API access is revoked immediately. Pending webhooks are attempted for an additional 24 hours. Data is retained for 30 days to allow export, after which it is permanently deleted.

Sections of these Terms that by their nature should survive termination will continue in effect, including: intellectual property, limitation of liability, and governing law.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Argentine Republic, without giving effect to conflict of laws principles.

Any dispute arising in connection with these Terms shall be submitted to the exclusive jurisdiction of the ordinary courts of the Autonomous City of Buenos Aires, Argentina.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
